Terms and Conditions of Service

These Terms and Conditions of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Customer", "User", "you", or "your") and Bricktry Technologies ("Bricktry", "Company", "we", "us", or "our"), governing your access to and utilization of the website located at https://bricktry.com, our AI Studio, autonomous software engineering agents, codebase sandboxes, cloud deployment pipelines, human-pairing developer packages, and referral partner affiliate programs (collectively, the "Services" or "Platform").

BY CREATING AN ACCOUNT, ACCESSING OUR WORKSPACES, CONNECTING A GIT REPOSITORY, PURCHASING A SUBSCRIPTION, OR ENGAGING AN AI AGENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY.

1. Eligibility and Account Security

• Age Requirement: You must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract to access or use the Platform.
• Registration Accuracy: You agree to provide true, accurate, and current registration information and maintain its accuracy throughout your use of the Services.
• Account Confidentiality: You are solely responsible for safeguarding your login credentials, API secret keys, and personal access tokens. You must notify Bricktry immediately at security@bricktry.com upon discovering any unauthorized access or breach of security.
• Entity Accountability: You are fully responsible for all activities and transactions executed under your account credentials.

2. Platform Services & Scope of Provision

Bricktry provides a full-stack engineering, maintenance, and website creation platform powered by autonomous AI agents, cloud sandboxes, and senior human software developers:

• AI Studio & Autonomous Agents: Automated software specification generation, full-stack website creation, code refactoring, dependency updating, bug detection, and live in-browser application sandboxes.
• Codebase Auditing & Ingestion: Deep static analysis, AST inspection, security vulnerability assessment, and architectural health reporting for connected GitHub, GitLab, or uploaded code archives.
• Human-Pairing Engineering Plans: Professional software engineering services wherein experienced senior platform developers pair with AI agents to execute Jira or Notion backlog tasks across our "Dedicated AI Dev Pair", "Weekly AI Dev Sprint", or "Annual AI Dev Partner" tiers.
• AI-Native SEO Engine: Real-time search query tracking, automated metadata generation, dynamic schema insertion, and Google Search Console performance analytics synchronization.
• Referral & Partner Affiliate System: Multi-tiered referral link tracking, KYC identity verification, commission attribution, and payout disbursement.

3. Intellectual Property Rights & Code Ownership

A. Customer Code & Project Deliverables (100% Client Ownership)

You retain full, exclusive, and unencumbered ownership of all intellectual property rights, source code, data, assets, and project files that you upload, connect, or generate using Bricktry.

All custom software code, patches, pull requests, styling rules, database structures, and digital assets generated for your project—whether produced by our autonomous AI agents or senior platform engineers—are deemed works made for hire and become your exclusive property upon payment of applicable fees. Bricktry claims no proprietary ownership, title, or interest in your deliverables.

B. Bricktry Platform Intellectual Property

Bricktry Technologies retains all right, title, and interest in and to the Platform, including the proprietary agent orchestration algorithms, user interface designs, logos, trademarks, system documentation, API schemas, and platform architecture. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform in accordance with your subscribed plan.

C. Open Source Libraries

Deliverables generated by the Platform may incorporate open-source libraries or frameworks (such as Laravel, Tailwind CSS, Vue, React, or standard npm/composer packages). Such components remain subject to their respective open-source licenses (e.g., MIT, Apache 2.0, BSD).

4. Artificial Intelligence & Developer Responsibilities

• Verification & Testing: While our autonomous AI agents and senior engineers strive for high accuracy, code generated by automated machine learning tools may occasionally contain syntax anomalies, logic edge cases, or package compatibility variations. You acknowledge that it is standard software engineering best practice to review, inspect, and test all code deliverables in a staging environment prior to deploying them into mission-critical production environments.
• No Client Code Model Training: Bricktry expressly affirms that your proprietary source code, private repositories, and custom project prompts are treated with strict confidentiality and are not used to train public foundational AI models.
• Acceptable Prompts: You agree not to supply prompts, specifications, or archives designed to generate malicious code, malware, exploits, or unlawful materials.

5. Subscriptions, Usage Credits, Billing & Payments

• Subscription Plans: Bricktry provides multiple subscription tiers ("Starter", "Pro", "Agency") as well as specialized Human-Pairing packages ("Dedicated AI Dev Pair", "Weekly AI Dev Sprint", "Annual AI Dev Partner"). Plan specifications, task concurrency, and credit limits are detailed on our pricing pages.
• Billing Cycles & Automatic Renewal: Subscriptions are billed in advance on a recurring monthly or annual basis. Your subscription will automatically renew at the end of each billing cycle unless canceled prior to the renewal date via your account billing settings.
• AI Credits & Consumption: Certain features (such as autonomous requirement scoping, deep architectural scans, or high-volume code generation) consume platform Lab credits. Unused monthly plan credits do not roll over across subsequent billing cycles unless explicitly specified in your plan.
• Taxes: All listed prices are exclusive of applicable taxes, levies, or duties (such as VAT, GST, or local sales taxes), which will be calculated and added to invoices based on your billing jurisdiction.

6. Cancellation, Refund & Chargeback Policy

• Subscription Cancellation: You may cancel your subscription at any time through the Billing section of your administrative dashboard. Upon cancellation, you will retain full access to your plan benefits until the expiration of the current prepaid billing period, at which point no further recurring charges will be incurred.
• Refund Policy: Due to the immediate provisioning of high-performance cloud compute resources, dedicated container sandboxes, third-party AI inference tokens, and the real-time allocation of senior software engineering personnel:
  • Consumed AI credits, completed code audits, and utilized engineering sprint hours are non-refundable.
  • For newly initiated SaaS plans, a refund request submitted within forty-eight (48) hours of initial sign-up may be reviewed by management on a case-by-case basis, provided no substantial compute or engineering services have been consumed.
  • Human-Pairing plans ("Dedicated AI Dev Pair" / "Weekly AI Dev Sprint") involve reserved developer allocation; fees paid for active or scheduled sprints are non-refundable once developer work has commenced.
• Dispute Resolution Prior to Chargebacks: In the event of a billing question or discrepancy, you agree to contact support@bricktry.com before initiating a bank chargeback or dispute. Bricktry is committed to resolving genuine billing errors fairly and promptly.

7. Referral & Affiliate Partner Program Terms

Participants in the Bricktry Referral and Affiliate Partner Program ("Partners") agree to the following mandatory conditions:

• Tracking & Attribution: Referral commissions are attributed when a genuine new customer registers and subscribes via your designated referral link or code within our active tracking cookie window.
• Mandatory KYC Verification: In compliance with global financial regulations, anti-fraud standards, and anti-money laundering (AML) laws, all partners must submit valid government-issued identification (e.g., PAN Card, Aadhaar Card, Passport, Driver's License, or Tax ID) for administrative KYC review. Commission payouts will only be disbursed to verified partner accounts.
• Prohibited Affiliate Practices: Partners must not engage in self-referrals (creating alternate accounts for personal purchases), misleading advertising, spamming, cookie-stuffing, or bidding on Bricktry trademarks in search engine advertising. Violation will result in immediate partner account termination and forfeiture of accrued commission balances.
• Payouts: Approved commissions are distributed via supported payout methods (UPI, PayPal, or Direct Bank Transfer) subject to minimum payout thresholds and standard dispute holding periods.

8. Acceptable Use Policy (AUP)

You agree not to use the Platform, AI agents, or sandboxes to:

• Develop, compile, host, or disseminate malicious software, viruses, rootkits, keyloggers, or ransomware.
• Conduct unauthorized vulnerability assessments, penetration testing, port scanning, or denial-of-service (DDoS) attacks against Bricktry or third-party infrastructure.
• Infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, or other intellectual property rights of any party.
• Reverse engineer, decompile, disassemble, or derive the source code of Bricktry's proprietary orchestration engine, backend services, or agent architectures.
• Resell, sublicense, or rent access to the Platform to third parties without prior written authorization from Bricktry.
• Generate deceptive, defamatory, obscene, or fraudulent digital products.

9. Third-Party Integrations & Services

The Platform interfaces with external services, including Google Search Console, GitHub, GitLab, Jira, Notion, Stripe, and Razorpay. Bricktry does not control and is not liable for service interruptions, API deprecations, rate limits, or terms enforced by independent third-party providers. You are responsible for complying with the respective terms of any third-party service you connect to Bricktry.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, SERVICES, AI AGENTS, SANDBOXES, AND CODE DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BRICKTRY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE COMPLETELY ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF DEFECTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BRICKTRY TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, WORK STOPPAGE, SERVER DOWNTIME, SYSTEM CRASHES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES.

BRICKTRY'S TOTAL AGGREGATE LIABILITY ARISING FROM ALL CLAIMS UNDER OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100 USD), OR (B) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO BRICKTRY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE OCCURRENCE GIVING RISE TO LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bricktry Technologies, its parent, subsidiaries, affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, expenses, and reasonable attorneys' fees arising out of or related to: (a) your violation of these Terms; (b) your proprietary code, project files, or materials ingested into the Platform; (c) your violation of any third-party intellectual property or privacy rights; or (d) any unlawful product or application created using the Services.

13. Account Suspension & Termination

• Termination by You: You may terminate this Agreement at any time by ceasing all use of the Services and canceling your subscription via the dashboard.
• Termination by Bricktry: We reserve the right to suspend or terminate your account immediately without prior notice if you violate these Terms, fail to pay subscription dues, compromise platform security, or engage in fraudulent conduct.
• Post-Termination Effects: Upon termination, your right to access the Platform ceases immediately. All sections which by their nature should survive termination (including IP Ownership, AI Commitments, Payment Obligations, Disclaimers, Liability Limitations, and Indemnification) shall survive.

14. Governing Law & Dispute Resolution

• Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Bricktry operates, without regard to its conflict of law principles.
• Informal Resolution: Prior to filing any formal legal claim, you and Bricktry agree to attempt to resolve any dispute, controversy, or claim amicably by contacting legal@bricktry.com for an informal negotiation period of at least thirty (30) days.
• Arbitration & Class Action Waiver: Any dispute that cannot be resolved through informal negotiations shall be settled by binding arbitration in accordance with standard commercial arbitration rules. TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable Service Level Agreements, constitute the entire agreement between you and Bricktry regarding the subject matter herein.
• Severability: If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver: No failure or delay by Bricktry in exercising any right or remedy under these Terms shall operate as a waiver thereof.
• Amendments: We reserve the right to modify these Terms at any time. When material changes occur, we will provide notice via our website or email. Continued use of the Services following notice constitutes acceptance of the modified Terms.
